International Legal Counsel

To support and structure the growth of our Advanced Imaging (AI) Business Unit and its global operations across several sites in Belgium, Germany, France, the USA and Singapore, we are creating the position of International Legal Counsel dedicated to providing legal support and guidance to that fast-moving business unit. 

Sole legal adviser of the AI Business Unit but integrated in the Group legal department based in France, you will work in partnership with the AI BU internal stakeholders in Belgium and across multiple jurisdictions and with the Group’s operational (Purchasing, R&D) and support teams (Finance, Compliance, ESG).

You will report directly to the AI business unit Manager with a functional report to the Group General Counsel. 

JOB DESCRIPTION

Day-to-day, you will work with all the BU’s operational and support functions: production, sales, procurement, R&D and finance teams to actively contribute to the legal strategy, involved in particular with:

  • Contracts: drafting/reviewing, advising on and negotiating various national and international contracts
    • Commercial contracts relating to the production and distribution of products and services (contracts with customers, agents, distributors, suppliers, subcontractors, service providers,  general T&Cs, tender contracts, Master agreements, MoUs, NDAs);
    • Intellectual and industrial property law (R&D, co-development, consortium, licensing agreements;
    • Intercompany agreements (cashpooling service agreements)
  • Project validation : conducting legal review of proposed transactions and offers;
  • Compliance: advising on national, European and International regulatory issues related to anti-corruption and ethics (KYCs, Third Party evaluation) and International trade (export control in collaboration with the local Export Control Officer, international sanctions, Incoterms) and competition. Supporting the operational teams in deploying the related Group procedures.
  • Pre-litigation and litigation management: providing legal advice on any commercial or international trade disputes;
  • Legal risk prevention:
    • Raising awareness among operational staff of the legal risks inherent in their areas of activity (circulation of internal memos and training);
    • Creating and updating contract templates;
    • Harmonisation of procedures and standard contracts;
    • Legislation and regulations monitoring.
  • Coordination with external legal counsel
  • Corporate & Governance:
    • Support post-acquisition integration of new companies within the AI BU from a legal perspective;
    • Establish and maintain corporate governance frameworks and best practices;
    • Monitor and update delegations.

 

PROFILE AND SKILLS

  • Qualified in Belgian law ;
  • 10 years experience in commercial legal roles, gained (in-house/law firm)
  • Fluency in English and Dutch both written and spoken – proficiency in French is a plus;
  • Experience in working within multi-functional, multi-national project environments;
  • Strong commercial acumen;
  • Excellent communication with the ability to balance legal risks and business objectives and to provide pragmatic and strategic legal advice;
  • High level of integrity and professionalism with the ability to handle confidential and sensitive information;
  • Curiosity and openness to learning (extending beyond law to include technical and operational matters);
  • Ability to interface at all levels and to build strong relationships.
